Terms of Service
Effective date: October 23, 2026
On this page
Section 1. Purpose
These Terms of Service (these "Terms") set out the rights, obligations and responsibilities of OHSUNG SYSTEM CO., LTD. ("we", "us" or "our") and users, the conditions and procedures for using SignForge and its related websites and ancillary services (collectively, the "Service"), and other necessary matters.
Section 2. Definitions
In these Terms:
- "Service" means the 3D sign (dimensional lettering) design service we provide, which allows users to upload SVG and other artwork files in a web browser, configure shape, thickness, structure and other settings, generate and download STL, DXF and other production files for 3D printing, CNC machining and similar processes, and save their projects to our servers, together with all related services.
- "you" or "User" means any individual, corporation or organization that agrees to these Terms, creates an Account and uses the Service.
- "Account" means the information you register to identify you and receive the Service, such as your email address, together with the usage rights associated with it.
- "Billing Country" means the payer's country when you pay for a Subscription (such as the country of the address registered in the PayPal account you pay with) or, for a renewal payment, the payer's country applied to that payment. We receive it only when PayPal provides it.
- "Subscription" means a paid agreement under which you pay fees in advance on a monthly or annual basis to use the features of a Plan.
- "Plan" means a tier of the Service defined by us. Available features and usage limits differ by Plan.
- "Billing Period" means the period of use covered by one Subscription payment (one month or one year).
- "User Content" means all materials you upload to or enter into the Service, including SVG and other files, text, logos, images and settings.
- "Output Files" means STL, DXF and other files and related materials generated by the Service based on your User Content and settings.
- "PayPal" means the payment processing service, and its operator, that we use to collect Subscription fees and issue refunds. PayPal only processes payments; we are the seller of the Service.
- "Automatic Payments" means the payment arrangement you approve in PayPal under which Subscription fees are charged automatically through PayPal on each renewal date until you cancel.
- "Organization" means a unit of use that we create in the Service for a corporation, other entity or sole proprietor (such as an educational institution) that has entered into a separate agreement with us for use of the Service (an "Organization Agreement"). It is shown as a "team" in the Service.
- "Member" means a User who has accepted an invitation to an Organization and belongs to it. Each Member has one of the following roles: owner, admin or regular member.
- "Organization Admin" means a Member whose role is owner or admin.
- "Seat" means a unit of usage rights that allows Members, up to the number set in the Organization Agreement, to use the Organization's Plan. Each Member uses one Seat.
Section 3. Posting and Amendment of These Terms
- We post these Terms on the Service website so that you can easily review them.
- We may amend these Terms to the extent permitted by applicable law.
- When we amend these Terms, we will announce the effective date, the changes and the reasons for them on the website or within the Service at least 7 days before the effective date. If a change is unfavorable to you, we will announce it at least 30 days before the effective date and also notify you individually, for example by email to the address registered to your Account.
- If, when announcing or notifying a change under paragraph 3, we clearly inform you that you will be deemed to have accepted the change unless you object before the effective date, and you do not object, you will be deemed to have accepted the amended Terms.
- If you do not agree to the amended Terms, you may stop using the Service and cancel your Subscription.
Section 4. Account Registration
- To use the Service, you must agree to these Terms and our Privacy Policy and create an Account following our procedures.
- You must provide accurate and up-to-date information when you sign up and promptly update it if it changes.
- We do not ask for your country when you sign up. If PayPal provides your Billing Country when you make your first Subscription payment, we record it as your Account's country; if it does not, your Account's country may remain unset. Taxes are governed by Section 13.
- Because your Billing Country is determined by the information you register with PayPal, you must register your actual address and country accurately in your PayPal account.
- You may not create an Account if you are under 14 years of age.
- A paid Subscription may be purchased only by a User who has reached the age of majority under the laws of their country of residence, or by a minor with the consent of their parent or legal guardian. If a minor makes a payment without that consent, the minor or their parent or legal guardian may cancel the payment in accordance with applicable law.
- If you sign up on behalf of a corporation or organization, you represent that you have the authority to bind it to these Terms, and "you" in these Terms then refers to that corporation or organization.
- We may refuse a registration, or terminate the agreement if we discover the issue later, in any of the following cases:
- false information was provided, or another person's information was used without authorization;
- your agreement was previously terminated for a breach of these Terms (unless we have approved re-registration); or
- the application otherwise violates applicable law or these Terms.
Section 5. Account Use and Security
- Each Account is for use by one person only: the individual who signed up, or one user designated by the corporation or organization that signed up.
- You may not share your login credentials with anyone else, or transfer, lend or resell your Account to any third party.
- Organization (team) accounts and Seats, which allow multiple people to use the Service together, are governed by Sections 5-2 to 5-5. Each Member of an Organization also uses the Service with their own Account, and paragraphs 1 and 2 apply.
- You are responsible for keeping your Account credentials (such as your password) secure.
- If you become aware of any unauthorized use of your Account, you must notify us immediately and follow our instructions.
- We are not responsible for any loss arising from your failure to manage your Account properly, except where caused by our intentional misconduct or negligence.
- Each Plan sets the number of places where the same Account can stay signed in at the same time ("Simultaneous Sign-ins"), and we show it on our Pricing page as a number of PCs (for example, "2 PCs"). The number of PCs on our Pricing page means the number of Simultaneous Sign-ins, and each browser (including a separate window such as a private window) counts as one place. If you are already signed in at the number of places allowed, you must sign out of one of them to sign in somewhere new, and a place that has not been used for more than 15 minutes may be signed out first when you sign in somewhere new. In the editor of a place that has been signed out, you cannot make new edits and can only save your work. You can see and sign out of the places where you are signed in on your account page.
Section 5-2. Organization Accounts and Organization Agreements
- Organizations are created by us under an Organization Agreement. Users cannot create Organizations themselves in the Service.
- The number of Seats, the Plan and the term (start date and end date) of an Organization are set out in the Organization Agreement, and we configure them in the Service accordingly. If we change an Organization's Plan or term following an amendment to the Organization Agreement, the change applies to all Members of that Organization.
- An Organization Agreement is an agreement between us and the Organization, and Members are not parties to it. Currently, Organization Agreements are limited to Education plan agreements under the proviso to Section 12(1), and we invoice the Organization directly, not through PayPal.
- The Organization Agreement prevails over these Terms with respect to the number of Seats, the Plan, the term, invoicing and payment, issuance of tax invoices, and renewal, termination and refunds of the Organization Agreement. These Terms govern matters not covered by the Organization Agreement and each Member's use of the Service (including Accounts, User Content, Output Files and prohibited conduct), and our Privacy Policy governs the processing of Members' personal information. By entering into an Organization Agreement, the Organization agrees to the matters concerning Organizations set out in Sections 5-2 to 5-5.
- Because a Seat is not a Subscription paid for by the Member, the provisions of these Terms on Subscription payments, automatic renewal, Plan changes, cancellation and refunds do not apply to the use of Seats. The Organization pays for the use of Seats under the Organization Agreement, and Members may not claim a refund from us on the ground that their use of a Seat has ended. However, this does not apply to compensation for loss caused by our intentional misconduct or negligence (Section 27).
Section 5-3. Powers and Responsibilities of Organization Admins
- Under the Organization Agreement, we designate one owner for each Organization. The person we designate becomes the owner of that Organization when they accept the owner invitation.
- Organization Admins may do the following in the Service. However, while an Organization's use is suspended or after its term has ended, they cannot send new invitations or resend invitations.
- invite people to the Organization by entering their email addresses (the owner can invite admins and regular members, and admins can invite regular members only);
- resend or cancel pending invitations (admins can resend or cancel invitations for regular members only, and Organization Admins cannot resend or cancel owner invitations sent by us);
- remove Members from the Organization (the owner can remove other Members, and admins can remove regular members only; the owner cannot be removed);
- change an admin to a regular member, or a regular member to an admin (only the owner can do this); and
- view the lists of Members and pending invitations and the Seat usage, with email addresses partially masked.
- Organization Admins must have the right to enter into the Service the email addresses of the people they invite. Under the Organization Agreement, the Organization is responsible, through its Organization Admins, for giving invitees the notices required by applicable law, such as informing them that they are being invited and that we process their email address to send the invitation email and manage Members (Section 2 of our Privacy Policy). This paragraph does not affect our own obligations under applicable law.
- Organization Admins act on behalf of the Organization when doing anything under paragraph 2, and invitations, removals and role changes made by Organization Admins are deemed to reflect the Organization's intent. The Organization must appoint and manage its Organization Admins appropriately and is responsible for removing from the Organization anyone who is no longer eligible to belong to it (such as former employees or graduates).
- We send invitation emails to the email addresses entered by Organization Admins and do not verify whether invitees are eligible to belong to the Organization.
- Organization Admins must not invite anyone who cannot create an Account under Section 4(5) (such as persons under 14). If we become aware of such an invitation, we will cancel it and promptly delete the email address.
Section 5-4. Invitations and Use of Seats
- An invitee may accept an invitation through the link in the invitation email. Invitation links are valid for 7 days from when they are sent and can be used only once. If an invitation is resent, previously sent links can no longer be used. Invitations to an Organization whose use is suspended or whose term has ended cannot be accepted.
- To accept an invitation, the invitee must log in with an Account that was registered with the same email address to which the invitation was sent and whose email verification has been completed, and must agree on the acceptance screen that the Organization Admins can see their email address (partially masked), role, and the date and time they joined (Section 5 of our Privacy Policy). If the invitee does not agree, the invitation is not accepted.
- Each User can belong to only one Organization. A Member of an Organization whose use has not been suspended and whose term has not ended (including an Organization whose term has not yet started; an "Organization in Use") cannot accept an invitation to another Organization. However, if the Organization the User belongs to has been suspended or its term has ended, accepting an invitation to a new Organization automatically removes the User from that Organization.
- The number of Members of an Organization cannot exceed its number of Seats. When the number of Members plus the number of pending, unexpired invitations reaches the number of Seats, no new invitations can be sent, and when the number of Members reaches the number of Seats, invitations cannot be accepted. We will not reduce the number of Seats below the current number of Members.
- A Member can use the Organization's Plan (the "Organization Plan") from the time they accept the invitation (or, if they accept before the term starts, from the start date) until the end of the Organization's term.
- A Seat may be used only by the Member who holds it. Members may not transfer or lend their Seat to anyone else, or share it with anyone else. To let someone else use a Seat, an Organization Admin must remove the existing Member from the Organization and then send a new invitation.
- A Member's own Subscription and their Seat are separate. Joining an Organization does not automatically cancel the Member's own Subscription, which continues to renew and be charged, and the end of the Member's use of a Seat does not affect their own Subscription. If a Member has both their own Subscription and the Organization Plan, the benefits of the two Plans are not combined, and only the higher of the two Plans applies (if one is the Education plan and the other is another paid Plan, the other paid Plan applies). Even if the Member's own Subscription ends or its use is restricted (Section 16(4), Section 17(3) and Section 18(1)), the Organization Plan applies while the Member can use it. A Member who does not want to pay twice may cancel their Subscription under Section 16, and refunds of fees already paid are governed by our Refund Policy.
- Whether rights in projects and other works that a Member creates with the Service belong to the Organization or the Member is determined between the Organization and the Member. Except as required by law, we do not provide projects saved to a Member's Account to the Organization or its Organization Admins.
Section 5-5. End of Seat Use and Change of Owner
- A Member immediately loses access to the Organization Plan in any of the following cases:
- an Organization Admin removes the Member from the Organization;
- we suspend the Organization's use under the Organization Agreement;
- the Organization's term ends; or
- the Member closes their Account or leaves the Organization under paragraph 4 or the proviso to Section 5-4(3).
- If we lift the suspension of an Organization or extend its term under the Organization Agreement, the Members who belong to the Organization at that time can use the Organization Plan again. A person who was removed from the Organization must receive and accept a new invitation to use it again.
- A Member who loses access to the Organization Plan will be on the Plan provided by their own Subscription or other usage rights (such as a promo code), if any, or otherwise on the Free Plan. Even in that case, the Member's Account and projects saved to the Cloud are not deleted, and while the saved projects exceed the Cloud Storage Limits, Section 19-2(4) applies.
- A Member may leave an Organization at any time in the Service. However, the owner may leave only after the owner has been changed under paragraph 5, and the owner's closing of their Account is governed by paragraphs 6 and 7.
- The owner cannot be removed from the Organization, and changes of owner are made by us under the Organization Agreement. When the person we designate as the new owner accepts the invitation, that person becomes the owner and the previous owner becomes an admin.
- If the owner closes their Account or leaves the Organization under the proviso to Section 5-4(3), the admin who became a Member earliest among the admins whose Account use is not restricted becomes the owner. If there is no such admin, the Organization remains without an owner, and we designate a new owner under the Organization Agreement.
- Notwithstanding paragraph 6, the owner of an Organization in Use cannot close their Account while there is no admin who would become the owner under that paragraph and there are other Members. In that case, the owner may close their Account after changing another Member to an admin, removing all other Members or asking us to change the owner.
- When a Member closes their Account or leaves an Organization, any pending invitations they sent are cancelled. The same applies when an Organization Admin is removed or changed to a regular member.
Section 6. The Service
- We provide the following:
- uploading SVG and other artwork files;
- configuring the shape, thickness, structure and other settings of dimensional letters;
- generating and downloading STL, DXF and other production files for 3D printing and CNC machining;
- saving projects you choose to the cloud and loading them (Section 19-2); and
- other additional features that we may provide.
- Available features and benefits differ by Plan, as set out in Section 9.
- The Service is used through a web browser. We describe the recommended environment on our website or within the Service, and some features may not work properly in other environments.
Section 7. Changes to and Suspension of the Service
- We may change all or part of the Service where there is a reasonable need, such as improving quality or meeting technical requirements, and we will announce material changes in advance. Changes to Plan benefits are governed by Section 9(2).
- We may temporarily suspend the Service for scheduled maintenance, with advance notice. In the case of urgent security measures or unforeseeable outages, we may give notice afterwards.
- We may temporarily suspend the Service due to natural disasters, power outages, telecommunications failures, failures of external services we rely on (such as cloud providers), or other events beyond our reasonable control.
- If we discontinue the entire Service for business reasons, we will announce it at least 30 days before the discontinuation date and refund, in accordance with our Refund Policy, the portion of any prepaid Subscription fees that corresponds to the remaining period after that date. In that announcement, we will also explain how to download projects saved to the Cloud (Section 19-2) and when they will be deleted.
Section 8. Subscription Plans and Fees
- Paid features of the Service are provided by Subscription, and you may choose a monthly or annual Billing Period.
- The Plan lineup (including whether a free Plan is offered) and the price of each Plan are as shown on our Pricing page and at checkout.
- Subscription fees are charged in advance at the start of each Billing Period.
- Each Account may have only one active Subscription. If you already have an active Subscription, you cannot add another. Section 14 sets out how to switch to a different Plan.
Section 9. Plan Benefits and Usage Limits
- Benefits such as available export file formats, whether a watermark is applied and usage limits differ by Plan, and the details are shown on our Pricing page.
- If we change the benefits of a Plan, we will notify you in advance in accordance with Section 3(3). Changes unfavorable to you will not apply to a Billing Period you have already paid for and will apply only from a later renewal payment. If you do not agree to a change, you may cancel your Subscription before renewal.
- Usage limits set for a Plan (for example, the monthly number of quotes or site mockup images) reset each month on the same day of the month as the start date (payment date) of your Subscription, and limits under annual Subscriptions also reset monthly on that day. In a month that has no such day, the limits reset on the last day of that month. Any remaining amount does not carry over when the limits next reset. However, for a user without an active paid Subscription (including a user on the free Plan, a user using a paid Plan through a promo code or trial, and a Member who uses the Organization Plan (Section 5-4(5))), usage limits reset in the same way based on the date the user's Account was created (sign-up date).
- Usage limits and credits only indicate the scope of your use of the Service and have no monetary value. They cannot be refunded, redeemed for cash or transferred to anyone else. Refunds of Subscription fees are governed by our Refund Policy.
- If an export fails due to a system error, it will not be counted against your usage limit, and if it has already been counted, we will restore it.
- How usage is counted toward a limit (for example, a quote counts once when it is first issued under a new quote number, and an on-site mock-up counts once for each new image you export) is shown on our Pricing page. To manage usage limits, we process only values that tell quote numbers and exported images apart (converted so that the original content cannot be known), and we do not receive the files you create.
Section 10. Automatic Renewal Rules
- Unless you cancel, your Subscription renews automatically for the same billing cycle (monthly or annual), with no limit on the number of renewals.
- To prevent the next payment, you must cancel your Subscription under Section 16 before the renewal date (your next billing date). If you cancel on or after the renewal date, the cancellation does not affect the renewal payment already made, and whether that payment can be refunded is governed by our Refund Policy.
- Renewal payments are charged through PayPal to the payment method registered in your PayPal account, under the Automatic Payments you approved with your first payment.
- The renewal interval and the amount to be charged at renewal are shown on our Pricing page and at checkout. When a discount period ends or the fee changes, the renewal amount may change in accordance with Section 11 or Section 15.
- If the amount to be charged through Automatic Payments changes, for example because a discount period ends, we will notify you by email or other means at least 10 days before the new amount is first charged. Notice of fee changes is governed by Section 15.
Section 11. Discounts and Promotions
- We may offer promotions, such as launch discounts. Conditions such as the discount rate, the period or number of billing cycles to which it applies, eligibility and the sign-up deadline are as stated in the relevant promotion.
- When the discount period ends, the regular price applies from the next renewal payment.
- Promotional benefits cannot be exchanged for cash. If we find that a benefit was obtained by improper means, we may revoke it.
- Notwithstanding Section 8(1), we may offer a trial that lets users who sign up use the features of a paid Plan free of charge for a set period (a "Free Trial"). Conditions such as the trial period and the Plan it covers are shown on our Pricing page and other screens of the Service. No payment method is required for a Free Trial, and you will not be charged automatically when it ends; unless you have a Subscription or other usage rights, the Free Plan then applies to your Account. Each email address (mailbox) can receive a Free Trial only once; this also applies if you delete your Account and sign up again with the same mailbox within one year. After a Free Trial ends, Section 19-2(4) applies to cloud storage.
Section 12. Seller and Payment Processing
- We sell paid Subscriptions to you directly as the seller, and Subscription payments and refunds are processed through PayPal as our payment processor. However, the Education plan for educational institutions (available only in the Republic of Korea) is not paid through PayPal; we sell it directly under a separate agreement that we enter into with the educational institution. In that case, the number of users (seats), the term, invoicing and payment, issuance of tax invoices, and cancellation and refunds are governed by that agreement, and matters not covered by the agreement are governed by these Terms.
- At checkout, you pay with your PayPal account or another payment method offered by PayPal (such as a credit or debit card), and with your first payment you approve Automatic Payments so that Subscription fees are charged on each renewal date. PayPal payments are charged in Japanese yen (JPY) or US dollars (USD), and the billing currency is shown at checkout. PayPal payment is not offered in the Republic of Korea, and otherwise the payment methods available, and the countries and regions in which you can pay with PayPal, may vary under PayPal's policies.
- We may add domestic Korean payment methods (through Korean payment gateways) for users in the Republic of Korea in the future. If we do, we will amend and announce the relevant provisions of these Terms and our Refund Policy, including how the payment route is determined.
- Payments made through PayPal are also subject to PayPal's user agreement and privacy statement. Payment method details are processed by PayPal, and we do not receive or store card numbers or other payment method details.
- We issue receipts, tax invoices and other transaction records as required by applicable law. Payment notification emails sent by PayPal are PayPal's notices of the transaction and may differ from the transaction records we issue.
- You may contact us (Section 33) with questions about Service features, your Account, payments, billing and refunds. You may contact PayPal with questions about your PayPal account or the payment methods registered with PayPal.
Section 13. Taxes and Other Costs
- Displayed prices may include, or may be subject to, taxes under applicable law (such as value-added tax or consumption tax). Where taxes are charged separately, we will show you the final amount payable, including tax, before you pay.
- As the seller, we calculate, collect, file and remit taxes in accordance with applicable law. The same applies to Education plan agreements.
- The currency and the final amount payable are shown at checkout, and you confirm them before paying.
- Any fees charged separately by your card issuer, bank or PayPal, such as foreign transaction or currency conversion fees, are your responsibility.
- Internet access and other communication costs needed to use the Service are your responsibility.
Section 14. Plan Changes
- Subscriptions paid through PayPal cannot be switched directly to a different Plan or billing cycle (monthly or annual) during the Subscription.
- To use a different Plan or billing cycle, you must cancel your current Subscription under Section 16 and then start a new Subscription to the Plan you want.
- The cancelled Subscription continues until the end of the current Billing Period you have already paid for, and there is no prorated refund for the remaining period and no settlement of the difference against the fee for the new Subscription. Because each Account may have only one active Subscription under Section 8(4), the new Subscription can be started after the cancelled Subscription ends.
- The payment for the new Subscription is treated as the payment for a new Subscription, and refunds for it are governed by our Refund Policy (as the first payment of a Subscription started again after cancelling).
Section 15. Price Changes
- We may change Subscription fees.
- If we change the fee for an existing Subscription, we will notify you of the change and its effective date by email or other means at least 30 days before the effective date, and the new fee will apply from your first renewal payment on or after that date. The new fee will not apply to any Billing Period you have already paid for.
- If you do not agree to the new fee, you may cancel your Subscription before the renewal payment to which the new fee would apply.
- Where applicable law (for consumers in the Republic of Korea, the Act on the Consumer Protection in Electronic Commerce and other laws) requires additional procedures for a price increase, such as obtaining your consent, we will follow those procedures. Any procedures required for a domestic Korean payment route will be set out by amending these Terms when such payment methods are added.
Section 16. Cancellation and Refunds
- You may cancel your Subscription online at any time, and we provide a cancellation menu on your account page in the Service for this purpose. You can cancel in either of the following ways:
- from the subscription management menu on your account page in the Service, after logging in; or
- by cancelling your Automatic Payments for the Service in the automatic payments settings of your PayPal account.
- Whichever way you cancel, no further renewal payments will be made, and you can continue to use your Plan's features until the end of the current Billing Period you have already paid for. Your Subscription ends at the end of that Billing Period. If you cancel your Automatic Payments in PayPal, no further payments will be charged, and you can continue to use paid features until the end of the period you have already paid for.
- Cancellation does not entitle you to a prorated refund for the remaining period. However, refunds will be provided where our Refund Policy provides for them, such as the refund of a first payment or of an annual Subscription renewal payment, or where required by applicable law. In addition, consumers in the Republic of Korea may exercise their right of withdrawal within 7 days of the date of each payment, whether it is a first payment or a renewal payment and whether the Subscription is monthly or annual, and will receive a full refund of that payment if they do so.
- Once a refund of a first payment or of an annual Subscription renewal payment under our Refund Policy, or a refund resulting from withdrawal by a consumer in the Republic of Korea, is completed, the Subscription ends immediately and you will no longer have access to paid features. Refunds for duplicate charges and billing errors only return the amount charged in error, so your Subscription continues. If a payment you did not make (for example, one made with a stolen payment method) is refunded, any Subscription started or renewed by that payment ends immediately and you will no longer have access to paid features.
- Eligibility for refunds, how to request them and how they are processed are set out in our Refund Policy.
Section 17. Failed Payments
- If a renewal payment fails, PayPal retries that payment under its own policies (currently, according to PayPal, up to 2 more times at 5-day intervals). PayPal sends notices about the failed payment and the retries under its own policies, and you can update or add a payment method in your PayPal account.
- If the retried payments also fail, PayPal suspends your Automatic Payments. A suspended Subscription is not charged again or resumed automatically, and we do not separately charge the unpaid amount.
- You may continue to use paid features for 7 days from the time PayPal reports the failed payment (the time that notification is issued). After that period, your use of paid features will be restricted to the same scope as before you subscribed.
- To use paid features again after a failed payment, you must cancel that Subscription using a method in Section 16(1) (the subscription management menu on your account page or the automatic payment settings in your PayPal account) and then subscribe again. If you cancel a Subscription whose payment has failed, it ends immediately, and the remainder of the period in paragraph 3 also ends. If you need help, please contact us (Section 33).
- A suspended Subscription remains with PayPal and does not end on its own until you cancel it. Section 18 applies after your Subscription ends.
Section 18. After Your Subscription Ends
- When your Subscription ends, whether through cancellation, failed payment or otherwise, your Account will revert to the Free Plan, and only the features of the Free Plan will be available. However, a Member who can use an Organization Plan will have the Organization Plan under Section 5-4(7).
- You retain your rights in Output Files you downloaded before your Subscription ended, even after it ends.
- We do not delete your projects saved to the Cloud when your Subscription ends. While your saved projects exceed the Cloud Storage Limits of the Free Plan, Section 19-2(4) applies. We also do not delete projects or files stored in your browser or on your device.
- Please download and keep any files you need before your Subscription ends.
Section 19. User Content
- You or the rightful owners retain all rights in your User Content, and we acquire no rights in it except as set out in these Terms.
- You grant us a non-exclusive, royalty-free license to store, copy, convert, process and back up your User Content, generate Output Files from it, display it to you, and use it to provide technical support at your request, to the extent necessary to provide the Service. This license is limited to the purpose of providing the Service and ends when the relevant content is deleted from the Service.
- You represent and warrant that you hold all necessary rights or valid licenses for the materials you upload (including fonts, logos, trademarks, designs and images), and that using those materials in the Service, and making and selling signs or other products using Output Files, does not infringe any third-party rights. In particular, you must check for yourself that your font licenses permit sign-making and your other intended uses.
- We have no obligation to review or monitor User Content in advance. However, if we receive a notice of infringement or a violation of law or these Terms is evident, we may take necessary measures, such as restricting access to or deleting the content.
- We do not guarantee permanent storage of User Content, so you should keep your own copies of original files and Output Files.
Section 19-2. Cloud Storage
- You may save projects you work on in the Service to our servers (the "Cloud"). We keep in the Cloud only the projects that you yourself choose to save there, and we do not upload projects automatically. The processing of uploaded files, your settings, the generation of Output Files and the editor's library take place in your browser or on your device.
- The number and size of projects you can save to the Cloud (the "Cloud Storage Limits") may differ by Plan, and we show them on our Pricing page or within the Service. If saving a project would exceed the Cloud Storage Limits, or while your saved projects already exceed them, you cannot save new projects or overwrite existing ones. Changes to the Cloud Storage Limits are governed by Section 9(2).
- Projects saved to the Cloud are kept until you delete them, you close your Account or your agreement is terminated under Section 24. However, this does not apply where we delete content under Section 19(4). When you delete a project, it disappears from your list immediately, and its files in storage are deleted within 24 hours. If you close your Account, Section 25(2) applies.
- We do not delete projects saved to the Cloud when the Plan that applies to you changes, for example when your Subscription ends, you switch to a lower Plan, your use of paid features is restricted (such as under Section 17(3) or after a refund under our Refund Policy), or a period of use granted through a promotion (such as a promo code) ends. While your saved projects exceed the Cloud Storage Limits of the Plan that applies at that time, only saving new projects and overwriting existing ones are restricted; you can still open, download, rename and delete your projects.
- When you overwrite a project, we keep the previous version for 90 days and may help you restore it if you ask within that period; versions older than 90 days are deleted automatically. However, when you delete a project or your account, we delete all of its files, including previous versions, within 24 hours, so deleted projects cannot be recovered. You should download important projects as files and keep your own copies (Section 19(5)).
- If you enter personal information about other people, such as your customers (for example, names, contact details or photos), into a project and save it to the Cloud, you must have the right to enter and save that information in the Service and must comply with your obligations under applicable law, such as obtaining the consent of the individuals concerned where required. We process that information only to provide the Service, such as keeping your projects and making them available to you.
Section 20. Output Files
- You hold the right to use your Output Files, and we claim no rights in them. However, rights in any User Content or third-party materials contained in Output Files remain with their original owners.
- On every Plan (including the Free plan), you may use Output Files you create with the Service commercially (such as sign production files you deliver to customers, and making and selling signs). However, as stated in the proviso to paragraph 1, rights in any User Content or third-party materials contained in Output Files remain with their original owners, and the license conditions for materials such as fonts (paragraph 3) and your responsibility for User Content (Section 19) continue to apply. If we decide to set a different scope of commercial use for each Plan, we will amend these Terms and give you advance notice in accordance with Section 3(3).
- If the Service provides its own fonts, templates or other materials, rights in those materials remain with us or their original owners, and the conditions under which you may include them in Output Files are subject to the license that applies to each material (fonts: SIL Open Font License 1.1 or Apache License 2.0).
Section 21. Your Responsibility for Fabrication and Installation
- Output Files are data generated from your settings and input materials. Before using Output Files for actual fabrication, you must verify for yourself their dimensions, thickness, structure, strength, material suitability and compatibility with the equipment you use (such as 3D printers and CNC machines).
- We do not warrant that Output Files are suitable for any particular equipment, material or production process, or that any particular fabrication result will be achieved.
- You are responsible for:
- defects arising in fabrication using Output Files, loss of material or machining costs, and rework costs (we are not liable for these unless they are caused by our intentional misconduct or negligence, and where they are, we are liable to the extent set out in Section 27);
- the installation and mounting of signs and their structural safety (including loads, wind pressure and fall prevention);
- the safety of lighting, wiring and other electrical equipment and compliance with applicable standards;
- compliance with the laws of the place of installation and obtaining any required permits, including outdoor advertising permits or notifications and building and safety regulations; and
- your liability to any third party (such as your customers) to whom you provide Output Files or products made with them.
- We are not liable for any loss arising from using Output Files for fabrication without the verification described in paragraph 1 unless the loss is caused by our intentional misconduct or negligence. Where the loss is caused by our intentional misconduct or negligence, we are liable to the extent set out in Section 27.
Section 22. Prohibited Conduct
When using the Service, you must not:
- register false information or use another person's information without authorization when signing up or updating your details;

- resell, redistribute or rent paid features or access to the Service without our prior written consent;
- circumvent Plan usage limits, for example by creating multiple Accounts, or circumvent restrictions on paid features, for example by removing watermarks;
- exploit errors, bugs, security vulnerabilities or other loopholes in the Service (if you discover one, please let us know);
- use automated tools not permitted by us (such as bots, scripts or scrapers) to use the Service in bulk or collect data from it, or place an excessive load on the Service;

- transmit malware, circumvent or disable security features, or gain unauthorized access to the Service's systems;
- upload content or produce Output Files that infringe any third party's copyright, trademark, design right or other intellectual property rights, rights of publicity or other rights;
- produce signs or other products whose content violates the law or public order and morals;
- use or analyze the Service for the purpose of developing a competing service; or
- otherwise violate applicable law or these Terms.
Section 23. Our Intellectual Property
- All rights in the software, screen layouts, designs, documentation, trademarks, logos and other elements that make up the Service (excluding User Content and Output Files) belong to us or their rightful owners.
- We grant you a non-exclusive, non-transferable right to use the Service in accordance with these Terms. No rights are granted to you except as expressly stated in these Terms.
- If you provide feedback or suggestions about the Service, we may use them freely to improve the Service without any obligation to compensate you.
Section 24. Restriction and Termination by Us
- If you breach these Terms or applicable law, we may, depending on the severity of the breach, issue a warning, temporarily suspend your use of the Service or terminate your agreement.
- Before taking any measure under paragraph 1, we will notify you of the reasons and details by email or other means and give you an opportunity to explain. In urgent cases, such as security risks, preventing the spread of third-party rights infringement or complying with legal obligations, we may take action first and notify you afterwards.
- You may object to any measure under paragraph 1, and if we find your objection justified, we will promptly restore your use of the Service.
- If your use is restricted or your agreement is terminated because of your breach of these Terms, refunds of fees already paid are governed by our Refund Policy and applicable law.
Section 25. Closing Your Account
- Except in the case described in paragraph 4, you may close (delete) your Account at any time. To close your Account, log in and use [Delete account] on the account screen, entering your Account email address and current password. If you have an active Subscription, it is cancelled immediately when you close your Account, no further charges will occur, and you cannot use the remainder of the Subscription period. Refunds of fees already paid are governed by our Refund Policy.
- When you close your Account, your projects saved to the Cloud are immediately removed from your list and can no longer be used, and their files in storage are deleted within 24 hours. Because deleted projects cannot be recovered, please download and keep any projects and files you need before closing your Account.
- Retention and deletion of personal information are governed by our Privacy Policy.
- If a Member of an Organization closes their Account, Section 5-5 applies, and the owner of an Organization in Use cannot close their Account while paragraph 7 of that Section applies.
Section 26. Disclaimers
- We are not liable for any failure to provide the Service due to force majeure, such as natural disasters, war, power outages or telecommunications failures.
- We are not liable for any disruption to your use of the Service caused by reasons attributable to you.
- To the extent permitted by applicable law, the Service and Output Files are provided "as is", and we do not warrant that the Service will be uninterrupted or error-free or that Output Files will be fit for your particular purpose.
- We have no obligation to intervene in disputes between you and any third party (such as your customers), and we are not liable for any loss arising from them unless it is caused by our intentional misconduct or negligence. Where the loss is caused by our intentional misconduct or negligence, we are liable to the extent set out in Section 27.
- This Section does not apply where we have acted with intent or gross negligence, or where applicable law does not permit the exclusion of liability.
Section 27. Limitation of Liability
- We will compensate you for any loss caused to you for reasons attributable to us.
- To the extent permitted by applicable law, our total liability to you is limited to the total fees you actually paid for the Service during the 12 months immediately preceding the event giving rise to the liability.
- To the extent permitted by applicable law, we are not liable for any indirect, special or consequential damages or loss of profits.
- Paragraphs 2 and 3 do not apply to loss caused by our intentional misconduct or gross negligence, or where mandatory consumer protection laws applicable to you do not permit such limitation.
Section 28. Indemnification
If we suffer loss or receive a claim or lawsuit from a third party because you breach these Terms or applicable law, because your User Content infringes a third party's rights, or in connection with the fabrication, installation or sale of products made using Output Files, you will, at your own responsibility and expense, hold us harmless and compensate us for the resulting loss (including reasonable attorneys' fees). This does not apply where the matter is not attributable to you.
Section 29. Privacy

Details on the collection and use of personal information, outsourcing of processing and international transfers are set out in our Privacy Policy. Personal information processed by PayPal in the course of payments made through PayPal is also subject to PayPal's privacy statement.
Section 30. Notices
- We will send notices to you individually by email to the address registered to your Account or by notification within the Service.
